# Whittaker estate record — factual claims and sources

**Work order:** WO-TRUSTS-20261021-WCD · **Site/project:** AsbestosTrusts.org / mNNW3KK7DmhctdgeFD3z8Q · **Prepared by:** Manus · **Version:** 1.0-draft · **Source check:** October 21, 2026 · **Release:** unpublished Tier 2 draft.

This source map supports `whittaker-estate-record.md` and `whittaker-status-note.md`. Bracketed source numbers match the record page. Each current-status conclusion is dated October 21, 2026; a document’s earlier filing date is retained separately. PDF page numbers below mean physical PDF pages unless explicitly described as printed pages. A party filing is primary evidence of what was filed or represented, not a judicial finding that its arguments are correct.

## Evidence grades

**A — Primary / filed:** court opinions, orders, official docket entries, and court-filed motions or plans. Within A, distinguish **A-court** for court decisions and docket events from **A-party** for proposals and litigation representations. The distinction limits the permitted conclusion; it does not demote a filed proposal into a court-approved fact.

**A-agent — Official case administration:** the appointed case agent’s debtor list, case description, docket index, and hearing listings. The landing page is not a signed hearing order or confirmation order. **B — Reliable secondary** is context only. **C — Unverified lead** is not factual support. No B or C source controls a WCD legal holding, settlement amount, trust metric, or current operational claim in this draft.

## Claim-to-source map

### C01 — Debtor identities, Chapter 11 date, court, and case numbers

**Draft claim:** WCD, Brilliant National Services, L.A. Terminals, and Soco West filed on April 26, 2023; joint administration under 23-13575 (MBK), Bankr. D.N.J., Judge Michael B. Kaplan. Individual cases: WCD 23-13575; Brilliant 23-13576; L.A. Terminals 23-13581; Soco 23-13578.

**Evidence:** official Stretto case page, opening case description and “Debtors” list. [2] **Grade:** A-agent. **Source date:** undated live page; historical event date expressly April 26, 2023. **Checked/as-of:** October 21, 2026. The amended appellate caption and introduction independently identify all four debtors and the bankruptcy court. [1] (pp. 2–3, 7–8)

### C02 — Historical business and roughly 2,700 plaintiffs

**Draft claim:** historical talc production/storage/distribution; roughly 2,700 plaintiffs had asserted asbestos-injury claims before bankruptcy.

**Evidence:** Third Circuit April 27, 2026 amended opinion, Document 87, pp. 7–10. Page 10 says: “Roughly 2,700 plaintiffs had asserted claims alleging asbestos-related injuries as a result of the Debtors’ talc products.” [1] **Grade:** A-court. **Source date:** April 27, 2026. **Figure’s as-of:** pre-bankruptcy history, not October 2026. **Unit/entity:** plaintiffs asserting claims involving the debtors’ talc products. **Precision:** approximate, as stated by the court. Do not convert this into 2,700 distinct lawsuits, current claims, paid claims, or trust applications. Page 11 separately describes more than 1,000 asbestos claims still pending when the debtors filed; that different count is not used as a current metric.

### C03 — 2004 operating-asset sale and liability exclusions

**Draft claim:** WCD, Brilliant, and Soco sold substantially all operating assets to certain Brenntag North America subsidiaries in 2004; the contracts excluded pre-sale asbestos and environmental liabilities.

**Evidence:** amended opinion p. 9; pp. 14–17 describe the successor-liability dispute despite those transaction terms. [1] **Grade:** A-court. **Source date:** April 27, 2026. **Event/as-of:** 2004 transaction history. This is not a sale of all four debtors’ stock and not a finding that the buyer is immune from every possible claim. No historical sale price is included in the draft.

### C04 — Board-authorized bankruptcy filing upheld

**Draft claim:** the Third Circuit held Whittaker’s Chapter 11 filing valid notwithstanding appointment of the South Carolina receiver.

**Evidence:** amended opinion pp. 18, 31, and 53; the conclusion explains that the receiver had not obtained a New Jersey court order displacing the board. [1] **Grade:** A-court. **Decision/source date:** April 27, 2026. **Current status date:** October 21, 2026, subject to the pending Supreme Court petition described in C10. This is a case-specific holding, not a universal rule that receivers never affect filing authority.

### C05 — Product-line claims are estate property

**Draft claim:** the product-line successor-liability claims at issue against Brenntag are property of the debtors’ estates under §541(a)(1).

**Evidence:** amended opinion pp. 15–17, 31, 45–53, especially conclusion p. 53. [1] **Grade:** A-court. **Decision/source date:** April 27, 2026. **Current status date:** October 21, 2026, subject to C11. The court did not need to rely on the bankruptcy court’s alternative §541(a)(7)/§544 rationale; see p. 17 n. 5. The draft does not imply that every direct claim against Brenntag was decided.

### C06 — Consequence for control and distribution

**Draft claim:** estate ownership puts prosecution and settlement of these causes of action with the estate representative, not individual plaintiffs; any recovery on those theories enters estate administration and the applicable distribution structure.

**Evidence:** amended opinion pp. 33–34 on statutory authority, p. 34 n. 15 on the full creditor constituency and priority rules, and pp. 51–53 on the case-specific product-line holding. [1] **Grade:** A-court for the court’s explanation; the plain-language application is Manus’s draft synthesis requiring qualified legal-context review. **Source date:** April 27, 2026. **Status date:** October 21, 2026.

**Limit:** the court recognizes that a creditor may regain authority if the estate relinquishes it. It also distinguishes particularized injuries directly traceable to the defendant’s conduct, pp. 45 and 51. A possible future trust is conditional on later governing documents and effectiveness; it is not a present exclusive filing route or promised payout. [6] (§1.143 and Article IV.D–F)

### C07 — Amended opinion, citation, and rehearing history

**Draft claim:** amended precedential opinion filed April 27, 2026, covering appeals 24-2210, 24-2211, and 25-1044; reporter citation 176 F.4th 241; panel rehearing granted, en banc rehearing denied, appellate judgments unchanged.

**Evidence:** amended opinion caption/date, pp. 1–3, and p. 17; rehearing order Document 86, p. 2. [1] [10] Reporter citation appears in the receiver’s filed petition, **printed p. 2, “Opinions Below.”** [9] **Grade:** A-court for dates/order; A-party for the petition’s bibliographic citation. **Source dates:** April 27, 2026; receiver petition filed July 24, 2026. **Checked/as-of:** October 21, 2026. Govinfo’s context page marks the September 10, 2025 opinion as vacated. [12] The draft relies on the amended **-2.pdf**, not the earlier **-0.pdf**.

### C08 — Approximately $535 million proposed settlement, not trust assets

**Draft claim:** approximately $535 million proposed aggregate settlement consideration to the debtors’ estates, involving Brenntag, NICO-side parties, and DB US; subject to Bankruptcy Court approval.

**Evidence:** settlement motion Docket 1297, filed September 3, 2024: pp. 2–3, ¶¶1–2; p. 18, ¶36; p. 35, ¶68. Its attached Exhibit A, Docket 1297-2, is the “Settlement Agreement Summary of Proposed Terms.” [3] **Grade:** A-party. The amended appellate opinion separately describes the proposed settlement as subject to Bankruptcy Court approval, pp. 13–14. [1] **Grade:** A-court for that April 2026 description.

**Figure metadata:** estate-level proposed settlement consideration; USD; approximately $535,000,000 as described in the court opinion, $535 million in the filed motion; no effective payment date verified; **status as of October 21, 2026: pending on the reviewed public record**. This is neither an audited trust balance nor the amount to distribute to one claimant or the tort constituency. No actual received payment is asserted.

**Payment structure locator:** combined motion PDF **p. 52**, Exhibit A **p. 1**, “Effective Date” and “Settlement Payment.” It describes financing as part of the contribution, with subsequent cash reduced by funded DIP cash-loan principal. The proposed effective date requires the settlement and summary-judgment orders to become final. The summary expressly says the underlying agreement controls over an inconsistent summary. The draft reports this mechanism without projecting current cash or assuming the conditions were met.

### C09 — Settlement remains pending on the reviewed current record

**Draft claim:** pending approval/sub judice; no approval or supersession identified at the October 21, 2026 check.

**Affirmative later evidence:** Committee reservation of rights, Docket 2791, filed **July 14, 2026**, pp. 2–3, ¶¶2–4. Paragraph 2 says the proposed settlement “remains contested and sub judice”; paragraph 3 says it “remains sub judice” and describes confirmation steps as not commenced at that date. It also identifies the financing deduction from the proposed contribution. [4] **Grade:** A-party, dated procedural representation.

**Corroboration:** Committee objection, Docket 2876, filed **August 7, 2026**, physical PDF pp. 30–31, printed pp. 25–26, ¶¶51–52; still describes court approval of the estate settlement as a condition. [5] **Grade:** A-party. This objection discusses a separate environmental agreement; it is not a judicial decision on the $535 million estate settlement. Its closing request for relief should not be paraphrased as an estate-settlement approval order.

**Current check coverage:** official public Stretto docket and exact-record lookups, reviewed through Docket 3007 dated **October 20, 2026**; official Plan & Solicitation category and October 21 landing-page hearing listings. [2] [13] [14] **Grade:** A-agent for the observed public index. No estate-settlement approval or superseding disposition was identified. The latest direct status representation cited here is August 7, not a fabricated October 21 court order. Restricted, delayed, sealed, or incompletely indexed material is not ruled out. Refresh this check before any later publication.

**Do not conflate:** an order addressing a different insurance or environmental settlement is not, merely by being a settlement order, approval of Docket 1297. The October 24, 2024 bankruptcy opinion also discussed an agreement “if approved” and was not an order approving this settlement. [15] (document pp. 3–4, 22–23)

### C10 — Supreme Court No. 26-159

**Draft claim:** receiver petition pending at the October 21 check; opposition already filed, not due November 6.

**Evidence:** official public docket caption *Peter Protopapas v. Whittaker Clark & Daniels, Inc., et al.* Petition filed **July 24, 2026**; docketed **August 3**; original response due **September 2**; opposition filed **August 25**; reply filed **September 4**, the latest entry shown. No disposition is shown in the retrieved docket. [7] **Grade:** A-court for official docket events. **Source/as-of:** October 21, 2026 retrieval, with each event dated separately.

**Issue evidence:** receiver petition, **printed p. i, Question Presented**, seeking grant/vacatur/remand in light of *T.M.*; respondents’ opposition, **printed p. i**, frames the receiver-authority issue. [9] [16] **Grade:** A-party. These are litigants’ formulations, not a Supreme Court resolution. The draft deliberately does not treat this as the Committee’s estate-property petition.

### C11 — Supreme Court No. 26-263

**Draft claim:** Committee estate-property petition pending; opposition due November 6, 2026, for all respondents.

**Evidence:** official public docket caption *Official Committee of Talc Claimants v. Whittaker, Clark & Daniels Inc, et al.* Petition filed **August 25, 2026**; docketed **September 8**. **September 14** entry grants response extension “to and including November 6, 2026, for all respondents.” Latest public entry date at this check: **October 8**, amicus filings. No opposition or disposition appears in the retrieved docket. [8] **Grade:** A-court. **Source/as-of:** October 21, 2026 retrieval.

**Issue evidence:** Committee petition, **printed p. i, Question Presented**, on §541(a)(1) ownership when the debtor could not have brought the claim pre-bankruptcy under governing state law. [11] **Grade:** A-party. The granted deadline is taken from the docket, not inferred from the extension request. “Pending” for both petitions means no disposition shown in the retrieved public dockets, not a guarantee against unposted or later events.

### C12 — Proposed plan, no established operating trust, and future hearing

**Draft claim:** no confirmed plan or operating Section 524(g) trust established on the reviewed record as of October 21, 2026; the filed plan describes a prospective Tort Claims Trust.

**Evidence:** proposed plan Docket 1468, filed **October 28, 2024**, **§1.143, physical PDF p. 16 / printed p. 12**, defines the Tort Claims Trust as “to be established by the Debtors on the Effective Date”; §§1.145–146 describe prospective governing documents. **§1.71, physical p. 10 / printed p. 6**, has a placeholder for an estate-settlement order date and docket number. These are plan proposals, not completed acts. [6] **Grade:** A-party. The plan’s §1.77, physical p. 11 / printed p. 7, refers to a future-claimants representative pursuant to §524(g), but the draft does not substitute that reference for a confirmation order or statutory trust finding.

**Later status and current stage:** July 14 filing ¶3 describes disclosure approval, solicitation, and confirmation as not commenced at that date. [4] The official Plan & Solicitation index exposes Dockets 1468, 1469, and 1470, filed October 28, 2024, as the plan/disclosure/solicitation package reviewed. [13] The official landing page, observed **October 21, 2026**, lists disclosure-statement and tort-bar-date hearings for **December 10, 2026, 11:30 a.m. Eastern**. [2] **Grade:** A-agent. A hearing listing is not an approved tort bar date, confirmation, trust commencement, or filing instruction. Category completeness is not assumed.

### C13 — Settlement approval and plan confirmation are separate

**Draft claim:** the appellate decision is not settlement approval; settlement approval alone is not confirmation or proof of an operating trust.

**Evidence:** amended opinion pp. 13–14; proposed plan **Article IV.D, physical PDF pp. 30–31 / printed pp. 26–27**. Physical p. 31 says the estate settlement “is not contingent upon Confirmation.” The proposed trust definition remains effective-date-dependent in §1.143. [1] [6] **Grade:** A-court/A-party as appropriate. **Source dates:** April 27, 2026 and October 28, 2024. **Status date:** October 21, 2026. The settlement’s own effective-date conditions are separate from the plan effective date; neither is treated as verified to have occurred. [3] (Exhibit A)

### C14 — No operative trust metrics or trust intake instructions

**Draft treatment:** operating-trust payment percentage, establishment year, net assets, cumulative payments, and portal are null/not applicable, not zero. No scheduled values, filing steps, filing deadlines, eligibility conclusions, or individualized recovery figures are supplied.

**Basis:** the pre-trust posture documented in C09/C12. **As-of:** October 21, 2026. **Grade:** evidence-bounded editorial treatment, not a separately sourced numerical finding. A bankruptcy case-agent interface is not proof of an operating trust’s intake. No aggregate includes the proposed $535 million or this estate as an operating trust.

### C15 — Exposure-context link and authorship

The draft links only to the existing AsbestosAtlas homepage for separate exposure-research context. No WCD-specific talc-record permalink was verified during this task; none is invented. The homepage and evidence-navigation page inspected October 21 describe a shipyard exposure-evidence resource. [17] A more specific owner-supplied WCD evidence link can be added during editing if verified. No preferred secondary domain is used to prove a legal holding or operational status.

Manus is the actual draft author. Sponsorship and the ANCHOR → CLEO → Charles review path come from the supplied project/work-order instructions, not from a court source. No dated attorney-review record exists for this draft, so no attorney is credited as having reviewed it. The proposed byline and disclosure reflect the project standards without copying the live template’s generic legal-review badge.

## Draft corrections and substantive distinctions — October 21, 2026

**Supplied premise → verified replacement:** “Briefs in opposition in both 26-263 and 26-159 are due November 6, 2026” → **November 6 applies to 26-263 only; the 26-159 opposition was filed August 25 and reply September 4.** Reason: official docket entries. [7] [8] This corrects the intake premise; no existing site page was edited.

**Supplied approximate unit → primary-source unit:** “roughly 2,700 asbestos-related lawsuits” → **roughly 2,700 plaintiffs had asserted claims before bankruptcy.** Reason: the opinion’s actual unit and historical scope. [1] (p. 10) No precise count of separate suits is inferred.

**Headline shorthand → filed meaning:** “$535 million Brenntag settlement” → **aggregate estate settlement with the “Settling Non-Debtors” (the Brenntag entities, NICO, and DBUS), approved in the Bankruptcy Court's October 22, 2026 opinion with the order to follow; financing is counted toward the contribution.** Reason: filed parties, payment structure, and Docket 3013. [3] [4] [12] *(ANCHOR, October 26, 2026: was “pending approval”; superseded by Docket 3013. Never “the Brenntag settlement” or “Brenntag will pay”: the opinion names three settling parties.)* No subtraction-based current balance, claimant allocation, or new net-funding estimate is introduced.

## Record conventions and conditional conversion — internal handoff only

Read-only checks on October 21 covered the live trust index and Paddock detail page, plus the public `trust-figures.json` file dated October 8. [18] [19] [20] Reused conventions are the title/debtor block, dated status, source documents, court/docket details, events, and disclosure. WCD was not found in the retrieved figures file. This is not a claim that every site file or prior task was searched. The supplied Daily Accomplishment Log is dated September 3, 2026; no later private build/task record was accessible in this task.

The record frontmatter is a **proposed draft descriptor, not a verified production schema or an import-ready patch**. Its route is an uncreated internal path proposal, not a public URL. Nothing was written to site code, merged, published, deployed, or added to the public figures dataset.

Keep the estate identity and chronology stable if a future trust record is approved. Record a confirmed plan separately from its effective date and from actual trust funding/operational commencement. Obtain the actual confirmation order and controlling plan, verify the statutory basis and covered debtor/sub-accounts, then retain a “confirmed / not operating” distinction until an official effectiveness/operations source warrants changing it. Only then add source-supported trust name, administrator, governing documents, metrics, and any official operational links. Settlement consideration must never be copied into `netAssets`; all old/new status values and reasons must be recorded. No conversion or implementation is authorized by this draft delivery.

## Accomplishments-ledger handoff

No ledger commit was made. The GitHub connector is disabled in this task, raw authentication inspection was blocked, and the ledger’s public page did not yield its entry-format header. No connector or access change was requested. The following is **entry content for Charles/Trill, not a claim of a completed ledger write or the repository’s verified formatting**:

> October 21, 2026 — Manus — AsbestosTrusts.org — WO-TRUSTS-20261021-WCD: Completed an unpublished Tier 2 Whittaker bankruptcy-estate record, claim-to-source map, and status note. Verified the amended Third Circuit opinion and reviewed primary settlement/plan filings and both Supreme Court dockets. Corrected the dual-November-6 premise: the deadline applies only to 26-263; opposition in 26-159 was filed August 25. Proposed $535 million remains estate settlement consideration pending approval, not trust assets. Draft delivered for ANCHOR → CLEO → Charles; legal review and publication not completed. No site publication, deployment, merge, main-branch commit, public upload, or schedule change.

## ANCHOR edit — October 26, 2026 (supersedes the October 21 status findings above; the October 21 entries stay as Manus's dated record)

- **Estate settlement status — SUPERSEDED.** Docket 3013, Memorandum Opinion, filed 10/22/26 (Case 23-13575-MBK), verbatim: “For the reasons that follow, the Settlement Motion is GRANTED and the Derivative Standing Motion is DENIED in light of the pending Settlement.” The opinion names the payers as the “Settling Non-Debtors”: “the Brenntag entities, NICO, and DBUS.” Source bytes: CVF Vault `Research/Legal-Financial/whittaker-2026-10/wcd-dkt3013-opinion-settlement-2026-10-22.txt` (fetched 2026-10-24; quote re-grepped 2026-10-26, fabricated-sentence control 0). [12]
- **Order — NOT ENTERED as of October 26, 2026.** CourtListener RECAP docket read 2026-10-26 ~14:30Z: newest entries 3015–3019 (October 23 and 26) are all “Monthly Fee Statement”. Nothing after 3013/3014 is an order. Status wording to use everywhere: “approved in an October 22, 2026 opinion; order to follow.” Never “final”. [14]
- **Environmental settlement.** Docket 3014, same day, approves the consent decree and environmental settlement agreement. Mentioned in the timeline only. [13]
- **Supreme Court dockets — RE-CHECKED, UNCHANGED.** 26-159: latest entry September 4, 2026 (reply). 26-263: latest entries October 8, 2026 (amicus briefs); response deadline November 6, 2026 for all respondents. Fetched 2026-10-26, 200. [7] [8]
- **Case-agent hearings — RE-CONFIRMED.** cases.stretto.com/whittaker/ 2026-10-26: “Disclosure Statement Hearing December 10, 2026 (11:30 AM ET)” and “Tort Bar Date Hearing December 10, 2026 (11:30 AM ET)”. [2]
- **Refresh trigger.** Before CLEO QA or publication, re-read the bankruptcy docket for an order on the settlement and the 26-263 docket for responses due November 6. Either one moving changes the lead.
